Terms of Service

These Terms of Service ("Terms") govern your access to and use of the service operated under the trade name ApexOutreach, our "doing business as" name (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. The Service

ApexOutreach is an autonomous B2B outreach platform that finds prospects, verifies contacts, drafts personalized emails, sends outreach from a connected inbox, and surfaces replies. Features and functionality may change over time.

2. Accounts & eligibility

You must be at least 18 and able to form a binding contract. You are responsible for your account credentials and for all activity under your workspace. Provide accurate information and keep it current.

3. Acceptable use — your outreach is your responsibility

You are solely responsible for the recipients you target and the messages you approve and send. You agree to:

• Comply with all applicable laws governing commercial email and outreach, including the U.S. CAN-SPAM Act, CASL, GDPR/ePrivacy, and similar laws in your recipients' jurisdictions.
• Send only relevant, non-deceptive business outreach, include required identifiers and an opt-out where applicable, and honor unsubscribe and do-not-contact requests.
• Not use the Service for spam, harassment, unlawful, misleading, or high-volume unsolicited bulk messaging that violates platform or legal rules.

You are responsible for maintaining your own sender reputation and for any consequences arising from your outreach. We may suspend accounts that violate this section.

4. Connected accounts

When you connect a Gmail or other inbox, you authorize ApexOutreach to act within that account to draft, send, and read messages related to your outreach. Your use of Google services is also subject to Google's terms. You may disconnect at any time.

5. Your content & data

You retain ownership of the content and data you provide. You grant us a limited license to process it to operate the Service. Our handling of personal data is described in our Privacy Policy.

6. Billing, trials & cancellation

• Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe.
• Free trials, where offered, convert to a paid subscription unless cancelled before the trial ends.
• You may cancel at any time; cancellation stops future renewals. Except where required by law, payments are non-refundable for the current period.
• We may change pricing with reasonable notice; changes apply to subsequent billing periods.

7. Disclaimers

The Service is provided "as is" and "as available." We do not guarantee any specific number of leads, drafts, replies, deliverability rate, or business outcome. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

8. Limitation of liability

To the maximum extent permitted by law, ApexOutreach will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim will not exceed the amount you paid us in the 12 months preceding the claim.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service or other users. Upon termination, your right to use the Service ends.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date, and continued use constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which ApexOutreach is established, without regard to conflict-of-laws rules. [Specify governing state/country with counsel.]
